ECODE SOFTWARE INC. SOFTWARE LICENSE AGREEMENT

YOU means the individual or the company or the legal entity that will be installing the software and the software is licenesed to.

WE, OUR, US mean Ecode Software Inc. which may also be referenced as E.S.I.

PRODUCT,THE PRODUCT and SOFTWARE mean the product that is being downloaded including all the meterial in the installation package, binary files, compressed files, documentation, images, logo and any other material readable or unreadable that is the subject of this agreement and will subsequently be downloaded or installed by you upon accepting all the terms and conditions of this license agreement.

PLEASE READ THE TERMS AND CONDITIONS OF THIS LICENSE AGREEMENT CAREFULLY BEFORE PURCHASING, INSTALLING OR DOWNLOADING THE SOFTWARE. YOUR USE OF THE SOFTWARE IS SUBJECT TO ACCEPTANCE OF ALL THE TERMS OF THIS LICENSE AGREEMENT.

BY DOWNLOADING OR INSTALLING THIS SOFTWARE YOU AGREE TO ALL THE TERMS AND CONDITIONS OF THIS LICENSE AGREEMENT. IF YOU DO NOT AGREE TO ALL OF THESE TERMS AND CONDITIONS, DO NOT PURCHASE, DOWNLOAD OR INSTALL THIS PRODUCT. YOUR PURCHASE, DOWNLOAD AND USE OF THIS PRODUCT IS ONLY AUTHORIZED UPON ACCEPTANCE OF ALL THESE TERMS AND CONDITIONS.

1- the software is the property of Ecode Software Inc. or its licensors and is protected by copyright laws and international copyright treaties. This license does not transfer the ownership of the product, but grants the right to use the software upon accepting this license agreement. Ecode Software Inc. and its licensors retain all the intellectual property rights associated with this software and all its components.

2- This license is valid for any updates, documentation, or new releases of the product.

3- You may copy and use the software on a single computer. In no condition software can be copied and used on more than one computer at a time.

4- You may make one copy of the software on a CD ROM or on a hard disk only as a backup.

5- This software is not licensed to be used on a network used by more than one computer.

6- This license is not transferable. You must not rent, lease, sublicense or transfer the software to a third party.

7- You agree and acknowledge that you will not modify, decompile or reverse engineer the software.

8- You agree and acknowledge that you will not view or attempt to view, modify or tamper with the source code of this software.

9- Any attempt to view the source code of this product unless authorized by Ecode Software Inc. is illegal.

10- Use of this product is entirely your responsibility. We recommend you find out about import limitations(if any) on this product from your local, provincial, state and federal authorities.

11- You agree and acknowledge that you will not use this product for any illegal purposes according to the laws of the government of Canada and the laws of your country of residence. If and only if the two laws contradict, the laws of Canada supersedes the laws of your country of residence where you download the product or intend to use the product.

12- The licenses of third party software or a library incorporated in this product is governed by their respected owners. Such licenses are all described in full in the README.txt file accompanying the software. Those licenses do not limit the use of this software unless indicated in this license agreement.

13- THIS PRODUCT IS OFFERED AS IS, THERE IS NO WARRANTIES, EXPRESSED OR IMPLIED, INCLUDING BUT NOT LIMITED TO ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PURPOSE AND NONINFRINGEMENT OF INTELLECTUAL PROPERTY RIGHTS.

14- LIMITATION OF LIABILITY. TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL ECODE SOFTWARE INC. OR ITS LICENSORS BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT, OR CONSEQUENTIAL DAMAGES INCLUDING BUT NOT LIMITED TO LOSS OF REVENUE, PROFITS, DATA, INTERRUPTION OF BUSINESS OR ANY OTHER LOSS ARISING FROM THE USE OF, OR INABILITY TO USE THE SOFTWARE OR THE PROVISION OF OR FAILURE TO PROVIDE SUPPORT SERVICES, EVEN IF ECODE SOFTWARE INC. HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN ANY CASE, ECODE SOFTWARE INC.'S ENTIRE LIABILITY UNDER THIS LICENSES AGREEMENT SHALL NOT EXCEED THE PURCHASE PRICE OF THE SOFTWARE DETERMINED BY ECODE SOFTWARE INC.

15- DOWNLOADING, INSTALLING OR USE OF THE SOFTWARE IS SUBJECT TO ACCEPTANCE OF ALL THE TERMS AND CONDITIONS SET FORTH ABOVE IN THIS LICENSE AGREEMENT. THIS LICENSE IS A LEGAL AGREEMENT BETWEEN YOU AND ECODE SOFTWARE INC. AND IS GOVERNED BY THE LAWS OF THE GOVERNMENT OF CANADA.
